By accessing and using Nodevate's services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Nodevate provides AI consulting and implementation services, including but not limited to:

• Custom AI solution development and implementation
• AI strategy consulting and advisory services
• Team training and enablement programs
• Technical assessments and roadmap planning

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Make timely decisions and provide feedback as requested
• Ensure you have the necessary rights to any data or materials provided to us
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise specified in a written agreement, all intellectual property rights in custom solutions developed for you will transfer to you upon full payment. We retain the right to use general knowledge, techniques, and experience gained during the engagement for future projects.

5. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. We expect the same confidentiality regarding our proprietary methods and tools.

6. Payment Terms

Payment terms are as follows:

• Projects are quoted on a fixed-price basis with payments tied to project milestones as agreed in the project proposal.
• Optional ongoing optimization is billed monthly.
• Invoices are payable within 30 days unless otherwise agreed.

7. Limitation of Liability

To the maximum extent permitted by law, Nodevate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

8. Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that AI solutions will be error-free or achieve specific business outcomes, as AI performance depends on many factors including data quality and business processes.

9. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you will pay for all services rendered and deliverables completed up to the termination date. We will provide reasonable assistance in transitioning ongoing work.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes shall be submitted to the competent court in the Netherlands.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.
